Legal Advisor

On behalf of OutCycling, we invite you to join the OutCycling Board of Directors for the position of Legal Advisor to help lead and direct this grassroots 501c3 nonprofit organization as it enters its 13th year of operation. We anticipate all OC Board members and particularly the Legal Advisor to dedicate between 5 and 10 hours per month maximum, dependant on time of year.

 

As a vital member of our team, the Legal Advisor plays a crucial role in ensuring the prudent operations and sustainability of the organization. The organization is run in two distinct, complimentary divisions; Youth (Fearless Flyers) and Adult with separate accounting, and best practices for each division. Both Divisions share the overall mission of promoting healthy living through cycling to the LGBTQ+ community and beyond. Our motto is: Fun, Fitness and Friendship for all. We are seeking a dedicated individual with a strong legal background and a passion for our cause as we look to expand the OutCycling Board of Directors and embark on next-level growth.

 

Responsibilities of the Legal Advisor:

 

  • Provide legal counsel and guidance to the organization's board of directors
  • Ensure compliance with relevant laws and regulations affecting the nonprofit sector and LGBTQ+ initiatives.
  • Review and advise on contracts, agreements, and legal documents.
  • Address legal issues related to club activities, events, and partnerships.
  • Collaborate with the board to develop and implement legal strategies aligned with the organization's mission.

 

Requirements:

 

  • Juris Doctor (JD) degree and active bar membership.
  • Demonstrated experience in nonprofit law, LGBTQ+ advocacy, or related fields.
  • Knowledge of legal issues relevant to community-based organizations.
  • Strong analytical and problem-solving skills.
  • Excellent communication and collaboration abilities.
  • Passion for promoting diversity, equity, and inclusion within the LGBTQ+ community.
  • Commitment to the mission and values of the cycling club.

Treasurer

On behalf of OutCycling, we invite you to join the OutCycling Board of Directors for the position of Treasurer to help lead and direct this grassroots 501c3 nonprofit organization as it enters its 13th year of operation. We anticipate all OC Board members and particularly the Treasurer will need to dedicate between 5 and 10 hours per month maximum to do a successful job. As a vital member of our team, the Treasurer plays a crucial role in ensuring the financial well-being and sustainability of the OutCycling organization.

 

The organization is run in two distinct, complimentary divisions; Youth (Fearless Flyers) and Adult with separate accounting for each division. Both dIvisions share the overall mission of promoting healthy living through cycling to the LGBTQ+ community and beyond. Our motto is: Fun, Fitness and Friendship for all.

 

We are seeking a dedicated individual with a strong financial background and a passion for our cause as we look to expand our Board leadership and embark on next-level growth. The ideal candidate should possess exceptional financial management skills, a keen eye for detail, and a commitment to upholding the highest standards of integrity and transparency.

 

Key Responsibilities

 

  • Overseeing the organization's financial activities, including budgeting, financial planning, and reporting and ensuring compliance with relevant laws and regulations.
  • Collaborating with the division heads and OC Board to develop and monitor financial policies and procedures, and set operating budgets each year.

  • Monthly bookkeeping and/or management of the OC Bookkeeper and providing regular financial reports to the Board highlighting key financial metrics and trends.

  • Rendering at the annual meeting, or when requested, an account of all Treasurer transactions and financial condition of the club.

  • Deposit and disburse funds as required and keep proper records

  • Prepare form 990 and file annually with the IRS.

  • Working closely with the Executive Director and other Board members to ensure the organization's financial sustainability and growth.

 

Requirements for the Treasurer Position:

 

  • Previous experience in financial management, accounting, or a related field.

  • Strong understanding of financial statements, budgeting, and financial best practices.

  • Familiarity with non-profit financial regulations and compliance standards.

  • Excellent communication and interpersonal skills for effective collaboration with other Board members and stakeholders.

Key Responsibilities of the Public Relations and Communications Officer:

 

  • Identifies strategic opportunity audiences, including new and potential stakeholders and members; develops a communication strategy and voice appropriate for reaching that audience.
  • Organize events to promote the organization's brand and advise the board on internal and external communications strategy.
  • Through public-facing communication, develops and maintains a positive public image for the organization.
  • Collaborates with the Board to develop and maintain the organizations vision statement, mission statement, public policies, and related messaging.
  • Collaborates with marketing and advertising support teams to ensure marketing campaigns are consistent with the organizations public image.
  • Develops and implements a long-term plan to communicate the organization’s mission statement internally and externally.
  • Drafts and implements crisis management strategies to mitigate negative media exposure and other similar risks.
  • Composes, reviews, and/or distributes press releases and other public- facing communication for key events.
  • Liaises with sponsors Public Relations group to maximize impact of messaging.
  • Promotes community events involving the organization.

 

Requirements for the Public Relations and Communications Officer Position:

 

  • Strong commitment to the LGBTQ community and our organization's mission.
  • Previous experience in Public Relations and Communications roles preferred.

Board of Directors Positions

Overview:

 

As a 501c3 nonprofit, OutCycling depends on its Board of Directors to be a robust organization helping and inspiring thousands of people to lead healthier lives through the sport of cycling.

 

Role:

 

The role of the Board of Directors is to govern and oversee the organization's operations. The Board is responsible for setting the organization's mission, strategy, and goals, and ensuring that the organization operates in compliance with legal and ethical standards. Presently there are 6 members who collectively discuss (and vote if necessary) on all major decisions governing the organization. OutCycling looks to grow the Board to approximately 11 active and engaged Board Members as follows:

  • Youth Program Liaison
  • Community/Membership Liaison

Commitment:

 

  • Time: 5 - 10 hrs/month - depending on time of year
  • Meetings - Monthly for 1 hour on zoom - where major decisions are discussed and made. Timeliness is of utmost importance at these meetings.
  • Dinner - 1 or 2 times per year in person in NYC. A chance to connect and recognize/celebrate the work of the Board.
  • Financial - "Give or Get" - Key to keeping the organization sustainable through life's uncertainties.
